In March 2026, ValeCap acted as exclusive financial and model advisor to Sunprime Holdings S.r.l. ("Sunprime"), in structuring a €507 million long-term financing package (the "Transaction") for the construction of a large-scale Italian multi-technology renewable portfolio in Italy. Comprising 290 MWp of solar PV capacity and 350 MW of 4-hour battery energy storage systems, the Transaction represents one of the largest integrated PV and BESS portfolios in the country, with 416 GWh of renewable energy generated each year and approximately 3 million tons of CO2 avoided over the project's useful life compared to fossil-based generation.
The portfolio implements a sophisticated revenue stacking strategy, combining 20-year incentive schemes (FER X) on the PV assets, alongside merchant exposure, and contracted revenues for BESS assets through capacity market agreements and long-term tolling arrangements. This revenue mix ensures cash flow stability, visibility, and enhanced bankability across technologies.
Headquartered in Milan, Sunprime is a leading Italian independent power producer specialising in the development, construction, and operation of solar PV assets. As of March 2026, the company held a development pipeline exceeding 1 GW in Italy and approximately 500 MW already in operation or under construction. Sunprime is backed by Noy Infrastructure & Energy Investment Fund, with over $3.5 billion in assets under management, and O.Y. Nofar Energy, a Tel Aviv-listed renewable energy developer.
The financing has been underwritten by the European Investment Bank and Natixis SA (Milan Branch), with the package also including a VAT Facility, a DSRF Facility, a GSE Guarantee Facility and a Tolling Guarantee. The EIB is the European Union’s lending arm, providing finance and expertise for sustainable investment projects that contribute to EU policy objectives. Natixis Corporate & Investment Banking (Natixis CIB) is a global financial institution offering advisory, financing, capital markets, and investment solutions, with a strong track record in renewable energy and infrastructure transactions.
This deal represents Sunprime’s second transaction advised by ValeCap in eighteen months, for a total debt amount raised of €711 million, further consolidating its status as a trusted and experienced advisor in complex and highly fragmented transactions.
