On February 12, 2025, Dolomiti Energia, a leading Italian multi-utility active in the distribution of electricity, water, and heat, signed a major agreement with IVPC, one of the most prominent players in the national renewable energy sector. The two companies have agreed to establish a strategic joint venture designed to strengthen Dolomiti Energia’s footprint in renewables through a multi-technology platform combining both wind and photovoltaic assets.

As part of the transaction, Dolomiti Energia will acquire a 75% stake in six operating special purpose vehicles, currently held by an IVPC sub-holding, representing a total installed and pipeline capacity of 598 MW. In addition, the company will take a 49% stake in ServiceCo, IVPC’s subsidiary focused on EPC and O&M services. The overall transaction values the portfolio at approximately €180 million.

The assets included in the deal are all located in Southern Italy and consist of:

  • 91 MW of operating wind plants
  • 447 MW of wind projects under development
  • 60 MW of photovoltaic projects under development

ValeCap acted as exclusive financial advisor to Dolomiti Energia, supporting the client throughout the entire process: assisting Dolomiti Energia in coordinating the due diligence activities, valuing both the portfolio and ServiceCo, and advising on negotiations with IVPC and its advisors, as well as on the drafting and finalization of the transaction documents.
